Terms & Conditions
All advertising orders through the Ads.co.com Network are subject to these Terms & Conditions.
These terms and conditions cover all advertising orders entered into between Advertiser ("Advertiser") and Domain-it!, Inc. This agreement supersedes any other understandings or agreements, including, but not limited to, advertising with respect to the purchased campaign. Prior to the start of your campaign, we must received a signed, faxed copy of the ad contract and these Terms & Conditions.
Ad Creative, Placement and Delivery.
Advertiser will provide Domain-it!, Inc. with all advertising creative, including, but not limited to, pop ads, including url's for full-page pops, banner advertisements, text links, and search boxes. Advertiser guarantees that all ad creative is legal to distribute and that they own or have the legal right to use any and all copyrighted material. Creative will run for the total ad purchase ("impressions") specified in the Purchase Order. All ad creative will run on the Ads.co.com Network and other publisher websites. Due to variances in traffic, the amount of impressions and clicks delivered per day may fluctuate. Domain-it!, Inc. will not be held responsible if the Advertiser's campaign does not receive an even amount of traffic every day.
Right of Refusal.
Domain-it!, Inc. reserves the right to deactivate an Advertiser's advertising campaign at any time, without refund, if the ad creative or advertised website is deemed inappropriate, based on the sole discretion of Domain-it!, Inc.'s staff.
- Domain-it!, Inc. will not deliver visitors to sites containing content that is not appropriate for viewing by a general audience. This includes, but is not limited to the following:
- Sites with pornography, adult content, sexual or erotic material, or sites that contain links to such content
- Sites containing or linking to software piracy ('warez', 'cracking', etc.)
- Sites containing or linking to any form of illegal activity (i.e., how to build a bomb, hacking, 'phreaking', etc.)
- Sites with profanity, gratuitous displays of violence, and abusive content or content which endorses or threatens physical harm
- Sites promoting any type of hate speech or references (i.e., racial, political, ethnic, religious, gender-based, sexuality-based or personal, etc.)
- Sites distributing or linking to potentially illegal MP3 files or other downloads
- Sites that participate in or transmit inappropriate newsgroup postings or unsolicited e-mail (spam)
- Sites promoting any type of illegal substance or activity sites with illegal, false or deceptive investment advice and money-making opportunities
- Sites with any type of content reasonable public consensus deems to be improper or inappropriate
- Sites engaging in any illegal activity of any kind
- Your Advertisement Page can not contain any other popup windows. Any additional window generated by your site shall be considered a popup window, including popups, pop-behinds, or exit popups windows. If a popup window is installed on the URL at any time, Domain-it!, Inc. may stop the campaign and you will not be entitled to a refund.
- Your Advertisement Page can not have background music or sounds
- Your Advertisement Page can not contain scripts that alter users browser settings
- Your Advertisement Page can not contain any frame breaking codes.
- To ensure compliance with these terms and conditions, any Advertiser that changes their content after approval for membership MUST notify Domain-it!, Inc. of the changes in writing IMMEDIATELY. If your site is changed during the campaign such that it includes inappropriate content, Domain-it!, Inc. may stop your campaign immediately. In this case, you will not be entitled to a refund.
Rates and Tracking.
The Advertiser will pay the agreed upon rate as specified in the Purchase Order. Rates are subject to change at any time. All advertiser tracking is performed by ads.co.com . In the event of a discrepancy, Domain-it!, Inc. and our data will have final authority. Domain-it!, Inc. will not accept reports from any free tracking service, hit counter, or other service that requires an image to load and that is not directly hosted on the advertisers website. For Campaigns that involve third party serving/tracking, accounting may be beyond the control of Domain-it!, Inc.. Campaigns that use third party serving/tracking for auditing purposes may be subject to alternate or additional controls. Domain-it!, Inc. is the sole owner of all website, campaign, and aggregate web user data collected by the Ads.co.com Network. Advertiser only has access to the specific data that is collected as part of the Advertiser campaign and provided in their Ads.co.com ad stats. Advertiser will receive a username and password login upon the start of the advertising campaign.
Payment.
All campaign payments are due prior to the start of an advertising campaign unless otherwise agreed. All payments due are based on the impressions tracked via ads.co.com. Purchased impressions are non-refundable. Domain-it!, Inc. reserves the right to set and negotiate specific payment terms on an advertiser-by-advertiser basis. If paying by check and payment is not received within 14 days, payment must be made immediately via paypal or credit card.
Cancellation.
All traffic purchases are final. Any cancellations will not result in a refund or partial refund.
Guarantee.
Domain-it!, Inc. does not guarantee that ad packages sold by impression will receive clicks on ads or that ads will result in sales of your product or service. We do guarantee that you will receive the traffic purchased, but are unable to guarantee that you will receive the purchased traffic within any specified time frame. If for some reason we are unable to deliver the traffic as specified in your Purchase Order, we will refund your money on a pro-rata basis.
Indemnification.
Advertiser agrees to indemnify and hold Domain-it!, Inc. harmless from and against any and all claims, demands, liabilities, expenses, losses, damages or attorney fees arising from any and all claims and lawsuits for libel, slander, copyright, and trademark violation as well as all other claims resulting from an Advertiser's ad creative, website, or its linked websites. Domain-it!, Inc. shall not be held liable for any consequential, direct, indirect, incidental, punitive, or other damages whatsoever (including, but not limited to, damages for loss of profits, loss of information or other pecuniary loss) arising from the use or inability to use the advertising purchased, even if Domain-it!, Inc. has been advised of the possibility of such damages.
Liability.
In no event shall either party be liable for special, indirect, incidental, or consequential damages resulting from any conditions beyond control of such party affecting ability to perform under this agreement in any manner. Domain-it!, Inc. shall not be responsible for any issues, including, but not limited to delays in deliver and/or non-delivery of a campaign, resulting from Advertiser's ad, URL, or website, technical failure of the Ads.co.com Network or difficulties with a Publisher or website.
Modifications.
Domain-it!, Inc. reserves the right to change the terms and conditions at any time without notice. You are responsible for complying with any changes to the terms and conditions immediately.
Governing Law.
Advertiser agrees that agreement is governed in all respects by and construed in accordance with the laws of the State of Ohio, United States. By submitting this agreement, advertiser consents to the exclusive jurisdiction and venue of the Courts located in Hamilton County, Ohio, United States, and all courts hearing appeals from such Courts.
